These Legal terms may be updated at anytime, it is your duty to stay up to date with our terms of service. MotionActor.com, Inc is not responsible for your lack of knowledge regarding our terms of use and service. By using MotionActor.com as a member or for simple browsing, you state that you have agreed to all of our terms of use and service.
Please read this page in its entirety as it explains your rights and responsibilities. You must agree, without modification, to accept the following terms of use ("Agreement") between you and MotionActor, Inc., a Nevada corporation ("MotionActor, MotionActor Film Festival", "MotionActor Awards," "MotionActors"). Your use of MotionActor.com, MotionActor Mobile and the Motion Actor Directory constitutes a full and complete acceptance of the terms of this Agreement. For purposes of this Agreement, the term MotionActor.com, Inc, without limitation; www.MotionActors.com, www.MotionActor.com; as well as any other web sites that may now or hereafter contain an authorized Motion Actor Directory branded area or window, wholly controlled by the Motion Actor Directory (collectively, "MotionActor.com, MotionActor Mobile and the Motion Actor Directory, World Database, Global Registry").
I. Subsequent Revisions to Agreement
Again, MotionActor.com, MotionActor Mobile and the Motion Actor Directory may periodically revise the terms of this Agreement by updating this page. You agree to be bound by subsequent revisions to this Agreement. Accordingly, you should periodically visit this page to review the current terms of use.
You also give MotionActor.com & all it's Administrators, full access to your MotionActor profile and to change, make LIVE or Update it at anytime, without your consent. MotionActor is here to help and may exercise this right if we deem necessary, for many reasons. You grant this right to MotionActor upon subscribing or using MotionActor.com. You grant MotionActor & its administrators Full Permission to login to your MotionActor Profile, update any information, including your profile or resume, fix typos, correct inaccuracies, fill in data not filled out, crop photos and re-upload such photos, change one's city and state Local, as well as other aspects of your public settings (so Motion Actor Coordinators and other users can see what State you are in), settings, make data public for casting purposes if we feel it's necessary in certain situations only, as well as, use ALL uploaded photos or content for MotionActor Blogging and promotions of You, the User. If you upload copy-written material, that is later used to Blog and Promote you with, you will be held responsible for any sort of copyright issues that may arise. If you do not agree to any of these terms, you are to cease use of MotionActor.com immediately and definitely. Please contact us for more details. MotionActor is here to help you, thus we expect to be 'hands-on' when it comes to its own, and its users/members, online presence.

MotionActor.com, MotionActor Mobile and the Motion Actor Directory reserves all right, title, and interest not expressly granted under this Agreement.
Copyright. Trademark. All content, which includes, without limitation, applications, articles, films, media files, reviews, software, and source code (collectively, "Content"), on MotionActor.com, MotionActor Mobile and the Motion Actor Directory is subject to copyright protection and may not be displayed, reproduced, distributed, modified or used in any other manner except with the written permission of MotionActor.com, Inc and its Content providers, or the owners of the specific content. All Video Footage is owned by their production companies and studios. All music is owned by their specific owners. MotionActor takes no responsibility for copy written material uploaded to its database. MotionActor assumes all work, reels, references, music, videos and photos were given consent to the particular MotionActor registered users use.
Trademark. The names or services of and on MotionActor.com, MotionActor Mobile and the Motion Actor Directory, including, without limitation, "The MotionActor Film Festival", "The MotionActor Awards", "MotionActor, What about You", "The Future of Submission", "What Do You Submit?", "Don’t just submit yourself, promote yourself", "MotionActors" and "Be Different, Be Professional," "MotionActor.com" are trademarks, pending trademarks, or registered trademarks of MotionActor.com, MotionActor Mobile and the Motion Actor Directory. Other names or services on MotionActor.com, MotionActor Mobile and the Motion Actor Directory may be the trademarks of the respective owners. You agree not to use any MotionActor.com, MotionActor Mobile and/or the Motion Actor Directory trademarks or any confusingly similar marks for any purpose without the express prior written consent of MotionActor.com, Inc in each instance.
Violations may result in severe civil and criminal penalties.
III. Use of Material
MotionActor.com, MotionActor Mobile and the Motion Actor Directory authorizes you to access and use the Content solely for your personal, non-commercial, non profitable use. You cannot sell your profile or any content within. You may not sell or modify the Content, and you may not reproduce, display, publicly perform, distribute, or otherwise use the Content in any way for any PUBLIC or COMMERCIAL PURPOSE. As an express condition of your use of MotionActor.com, MotionActor Mobile, The MotionActor Registry and the Motion Actor Directory, you warrant to MotionActor.com, MotionActor Mobile and the Motion Actor Directory that you will not use MotionActor.com, MotionActor Mobile and the Motion Actor Directory for any unlawful purpose or purpose prohibited by this Agreement. If you violate any part of this Agreement, your permission to use the Content automatically terminates and you must immediately destroy any copies you have made of any of the Content. MotionActor.com, MotionActor Mobile and the Motion Actor Directory makes no representation that the Content is legal or appropriate for use outside of the United States or that it is authorized for export from the United States or import into any other country. You are solely responsible for complying with all import and export laws and regulations and all applicable laws of any jurisdiction outside of the United States from which you may access MotionActor.com, MotionActor Mobile and the Motion Actor Directory. You give MotionActor the permission to request photos from different parties, along with other information on you, to add to your MotionActor profile if you do not upload anything, or even a little, to it. By not completing your profile, you give MotionActor the legal right to complete it for you by using pictures and information from any available resource on the world wide web. MotionActor.com, Inc assumes all legal permissions were given by Photographers of Photos and uploaded by Registered Users on our website or others that we have been given legal permission to use, since you are a member on MotionActor.com. You give us the right to use your Social Networking photos, your Facebook photos as well to complete your MotionActor Profile. That said, your photos will be used in MotionActor.com promotional material, including, but not limited to, Featured Friday's Promotions, Tuesday's Tips Promotions, iTunes App store screen shots and still photo placement and all other present and future promotions including, but not limited to, the MotionActor Awards and the MotionActor Film Festival. You photos will never be sold to a 3rd party. MotionActor may still access your email, mobile and contact information even though your profile has expired. We will give this out for casting purposes only.
IV. TEXTING. You are a member, user, affiliate, sponsor or agent of MotionActor.com, Inc and by being so, you give MotionActor.com, Inc the right to text you on your mobile device by our Texting System. MotionActor has granted certain members within our directory and database the rights to text ALL members who have their cell phone listed in the Mobile Number Field. You may not take any action against MotionActor.com, Inc or it's affiliates for excessive texting, or texting, or excessive contact or contact in general. You waive ALL RIGHTS when using MotionActor in regards to our access to your phone by Call, Text or Email. If you wish not to partake in our Texting Feature, do not have a mobile number listed within your MotionActor.com profile or email us directly specifying that you would like to stop receiving our text messages.
IV.1 EMAILING. You are a member, user, affiliate, sponsor or agent of MotionActor.com, Inc and by being so, you give MotionActor.com, Inc the right to email you on your through our many promotional email campaigns. You may unsubscribe from these by clicking Unsubscribe at the bottom of our graphical emails. MotionActor has the right to email you directly regarding any matter concerning member services or concerns. We will email any email we have on file, be it from Registration or direct contact, your email is logged in our database. You may not take any action against MotionActor.com Inc for excessive emailing, or emailing in general, or excessive contact or contact in general. You waive ALL RIGHTS when using MotionActor.com and grant us ALL RIGHTS to email you as many times as we see fit. If you wish not to partake in our Promotional emails, do not have an email listed within your MotionActor.com profile and you must email us directly to have you removed from our email campaign database. If we do not have such an email from you, you will continue to receive our emails.
IV.2 CONTRACT DATA: You are a member, user, affiliate, sponsor or agent of MotionActor.com, Inc and by being so, you give MotionActor.com, Inc the right to have your contract data and personal information stored on MotionActor.com. MotionActor will try it's best to protect your data of course, but MotionActor.com, Inc, it's users, affiliates, sponsors or agents are NOT responsible for any data breach that may result in your data being lost or stolen. Know that you post all information and private contractual data AT YOUR OWN RISK. MotionActor will NOT be held liable for any harm done by you freely & willfully posting any data on MotionActor.com or giving our staff the permission to post any data on your behalf. MotionActor has the right to add information, as well as email information, resume details, and other information to your profile. MotionActor also reserves the right to update your profile settings to reflect our Terms of Service. If you find your settings to have been changed, you waive all rights to seek legal action against MotionActor.com, Inc, t's users, affiliates, sponsors or agents as you hereby grant us all permissions to adjust, edit and change data on your MotionActor.com Profile.
MotionActor.com has no intention to do so, but by remaining a user, affiliate, sponsor or agent of MotionActor, you grant us all rights listed in these terms of service. You may not take any action against MotionActor.com Inc for exercising our rights to change ANY data within your member page(s), as well as updating your profile on your behalf. Any inaccuracies will be fixed if you let us know, but you waive all rights of Legal Action for any mistakes we might make. We will fix any mistakes as soon as we we possible can. You waive ALL RIGHTS when using MotionActor.com and grant us ALL RIGHTS to your data. MotionActor will not willingly share any of your confidential data without your permission. But to avoid frivolous lawsuits, as a member, user, affiliate, sponsor or agent, you give MotionActor.com, Inc and it's staff all rights to do with our website and all data therein, as WE please. Such rights included, but are not limited to, use of your logos, name, likeness, motto, photos, videos, credits, details, statistics, sizes, or any other aspect of data listed on our website, MotionActor.com. If you have uploaded any copyright or trademarked data, you will be responsible for all lawsuits or legal matters pertaining to the information you listed on our website in which we assumed privilege to legally use. Again, If you do not like these options, you must email us to have your profile removed from our database.
V. Your Use of MotionActor.com, MotionActors.com, MotionActor Mobile, the Motion Actor Directory, MotionActor.com, Inc and MotionActor.com, Inc Network Is at Your Own Risk
MotionActor.com, MotionActor Mobile and the Motion Actor Directory may contain inaccuracies or typographical errors. MotionActor.com, MotionActor Mobile and the Motion Actor Directory makes no representations about the accuracy, reliability, completeness, or timeliness of the Content or about the results to be obtained from using MotionActor.com, MotionActor Mobile and the Motion Actor Directory or the Content. Your use of MotionActor.com, MotionActor Mobile and the Motion Actor Directory, including, without limitation, the services and information, contained therein, is on an "as is" basis and is at your own risk. MotionActor.com, MotionActor Mobile and the Motion Actor Directory, ITS RESPECTIVE OFFICERS, DIRECTORS, SHAREHOLDERS, EMPLOYEES, ACCOUNTANTS, ATTORNEYS, AGENTS, AFFILIATES, SUBSIDIARIES, SUCCESSORS AND ASSIGNS (COLLECTIVELY "MotionActor.com, MotionActor Mobile and the Motion Actor Directory", or "MotionActor, MotionActor, Inc") SHALL NOT BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF OR CONNECTED WITH (I) YOUR USE OF MotionActor.com, MotionActor Mobile and the Motion Actor Directory, (II) YOUR USE OF MotionActor.com, MotionActor Mobile and the Motion Actor Directory's SERVICE AND (III) ANY OTHER SUBJECT MATTER OF THIS AGREEMENT. MotionActor has zero liability.
MotionActor.com, MotionActor Mobile and the Motion Actor Directory Makes No Representations or Warranties. WITHOUT LIMITING THE FOREGOING, EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, MotionActor.com, MotionActor Mobile and the Motion Actor Directory MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, AS TO ANY MATTER INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INFRINGEMENT OR OTHERWISE WHICH WOULD EXTEND BEYOND THE REPRESENTATIONS AND WARRANTIES CONTAINED IN THIS AGREEMENT.
Third Party Links. MotionActor.com, MotionActor Mobile and the Motion Actor Directory may contain links to Web sites ("Third Party Web Sites") operated by parties other than MotionActor.com, MotionActor Mobile and the Motion Actor Directory and MotionActor.com, MotionActor Mobile and the Motion Actor Directory may license Content from MotionActor.com, MotionActor Mobile and the Motion Actor Directory for use by Third Party Web Sites. MotionActor.com, MotionActor Mobile and the Motion Actor Directory makes no representation or endorsement of the Third Party Web Sites and you access them at your own risk.
Use Of Interactive Communities At Your Own Risk. MotionActor.com, MotionActor Mobile and the Motion Actor Directory contains, or in the future will contain, bulletin board services, chat areas, news groups, forums, communities and other message and communication facilities, including, without limitation, "Networking" , "Plugging-In" ("Communities").
MotionActor.com, MotionActor Mobile and the Motion Actor Directory does not control the files, information, or messages (collectively, "Information") delivered to or displayed in the Communities, unless otherwise noted therein, and MotionActor.com, MotionActor Mobile and the Motion Actor Directory assumes no duty to, and does not, monitor or endorse Information within the Communities, nor does MotionActor.com, MotionActor Mobile and the Motion Actor Directory represent or guarantee the truthfulness, accuracy or reliability thereof or that the Information complies with the terms of this Agreement. MotionActor.com, MotionActor Mobile and the Motion Actor Directory reserves the right at all times to edit, refuse to post, or to remove any Information, in whole or part, that MotionActor.com, MotionActor Mobile and the Motion Actor Directory deems inappropriate for inclusion in the site pr Communities. MotionActor.com, MotionActor Mobile and the Motion Actor Directory reserves the right to expel you from or suspend your access to some or all of the Communities and/or services for violating the law or this Agreement. The Communities are public and not private communications and may be read by others without your knowledge or permission. Although a particular Community may have a policy of limited membership or access, MotionActor.com, MotionActor Mobile and the Motion Actor Directory shall have no liability if unauthorized persons nevertheless obtain access to the Community. Your use of the Communities is at your own risk so be careful about disclosing your personal information.
When using the Communities you may not do any of the following:
a. Restrict or inhibit any other user from using and enjoying the Communities;
b. Post or transmit any abusive, hateful, defamatory, indecent, libelous, obscene, pornographic, profane, threatening, harassing, embarrassing, unlawful, vulgar, or other information of any kind that violates applicable law or regulation or which harms minors in any way, including, without limitation, information that constitutes the following:
Infringement. Information that violates or infringes upon the copyright, literary, privacy, publicity, trademark, service mark or any other personal or property right of any person or entity or which discloses any trade secret or confidential information.
Software. Software or materials that contain a virus, corrupted files, or similar programs that may damage the operation of another's computer or MotionActor.com, MotionActor Mobile and the Motion Actor Directory.
c. Post advertisements of solicitations of business, except in areas expressly designated for such purposes and in accordance with the express rules and regulations established by MotionActor.com, MotionActor Mobile and the Motion Actor Directory.
d. Post chain letters or pyramid schemes or impersonate another person.
e. Manipulate headers or identifiers so as to disguise the origin or content of any posting.
f. Do any act which interferes with or slows the operation of MotionActor.com, MotionActor Mobile and the Motion Actor Directory.
MotionActor.com, MotionActor Mobile and the Motion Actor Directory may condition your right to participate in the Communities on your furnishing to MotionActor.com, MotionActor Mobile and the Motion Actor Directory and keeping updated at all times such personal identifying information as MotionActor.com, MotionActor Mobile and the Motion Actor Directory may reasonably require, including, without limitation, your true name and a current, active e-mail address. MotionActor.com, MotionActor Mobile and the Motion Actor Directory reserves the right to suspend or terminate your access to some or all of the Communities if MotionActor.com, MotionActor Mobile and the Motion Actor Directory has a good faith basis for believing that any of the information you have supplied is inaccurate or that your account is being used by anyone other than you to access the Communities.
By posting material to the Communities, you automatically grant to MotionActor.com, MotionActor Mobile and the Motion Actor Directory a royalty-free, perpetual, irrevocable non-exclusive license to use, reproduce, modify, publish, edit, translate, distribute, perform, display and otherwise exploit such material and all elements thereof alone or as part of other works in any form, media, or technology, whether now known or hereafter developed, and to sublicense such rights through multiple tiers of sub-licenses, all without any obligation to you, whether by way of compensation, attribution or otherwise. If you post a copy-written photo, of which MotionActor and It's Affiliates pull to use for promotion, you are solely responsible for ALL Legal Costs, Fines & Damages, for both parties if legal action is taken against MotionActor.com, Inc or it's affiliates by you or the copyright / trademark owner.
.If you are a member of a Motion Actor Team, Motion Actor Group or Motion Actor Fraternity, MotionActor assumes the right to use your logo and promote you and your brand in our Motion Actor Teams Section, Featured Friday's, Tuesday's Tips or any other promotional material or medium. MotionActor hope this helps you and your company by driving traffic to your company, team, Group or Fraternity's website. MotionActor does not promise such results, but it is MotionActor's goal when doing so. If you want your log removed, please contact MotionActor (information below) and they gladly remove it promptly. If you are a member of a Motion Actor Team, you give MotionActor.com the right to put your Motion Actor team logo to the right of your profile and use such logo on the Motion Actor Team Pages, banners, or other areas of the site. Use of you logo is for promotional purposes only, for both MotionActor.com and your individual Motion Actor group and/or "Team".
VI. Miscellaneous
MotionActor.com, its developers, its Administrators, its owners and its creators... all have the right to enter your profile, fix, crop, upload, delete or add content to your profile without your permission. MotionActor will do its best to contact you after doing so, but this is not guaranteed. MotionActor also has the rights to fix, correct or delete improper credits or misrepresentations. If a registered user of MotionActor posts a film or tv show he/she has not worked on, we have the right to delete the credit and/or all data related to the misrepresentation. If a registered user of MotionActor posts a job, or Name of Reference, of which he/she has not worked with or for on a film, tv show, convention, music video, venue, general gig or the like, we have the rights to edit/delete such misrepresentations. MotionActor must guard against explicit content and also, MotionActor must keep the websites visual elements orderly. Orderly to our standards. My signing up with MotionActor, you agree to this and all things listed in the Terms of Service.
Use of Information: Subject to such privacy policies as MotionActor.com, MotionActor Mobile and the Motion Actor Directory may establish and post on the MotionActor.com, MotionActor Mobile and the Motion Actor Directory from time to time, MotionActor.com, MotionActor Mobile and the Motion Actor Directory may use the information it obtains relating to you, including, without limitation, your IP address, name, mailing address, e-mail address and use of theMotionActor.com, MotionActor Mobile and the Motion Actor Directory for its internal business and marketing purposes and such information may be disclosed to third parties for such purposes and for any other purposes set forth in MotionActor.com, MotionActor Mobile and the Motion Actor Directory’s privacy policy.
Choice of Law and Forum. This Agreement, its interpretation, performance or any breach thereof, will be construed in accordance with, and all questions with respect thereto will be determined by, the laws of the State of Nevada applicable to contracts entered into and wholly to be performed within said state. You hereby consent to the personal jurisdiction of the State of California, acknowledge that venue is proper in any state or Federal court in the State of Nevada, agree that any action related to this Agreement must be brought in a state or Federal court in the State of California, and waive any objection you may have in the future with respect to any of the foregoing. Notwithstanding the foregoing, MotionActor.com, MotionActor Mobile and the Motion Actor Directory reserves the right to commence an action in your home state in regards to this Agreement.
Indemnity. You agree to defend, indemnify and hold harmless MotionActor.com, MotionActor Mobile and the Motion Actor Directory, its licensees, successors and assignees, its Content providers, advertisers and sponsors, the parent, affiliated and subsidiary companies of each of them and the officers, directors, employees, and agents of each of them from and against any and all third party claims, damages, liabilities, costs and expenses, including reasonable legal fees and expenses, arising out of or related to any breach by you of this Agreement, any material which you may post to the Communities or any use of the Content by you or under your control.
Severability. If any provision of this Agreement, or application thereof, shall be held invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this Agreement shall remain in full force and effect.
Use of "You" or "Your". The words "you" or "your" shall also mean heirs, executors, administrators, successors, legal representatives and permitted assigns.
Waiver. Any waiver of any provision of this Agreement must be in writing and signed by an authorized representative of MotionActor.com, Inc.
Copyright Complaints. If you believe that your work has been copied and is accessible on the MotionActor.com, MotionActor Mobile and the Motion Actor Directory in such a manner as to constitute copyright infringement, you may notify MotionActor.com, MotionActor Mobile and the Motion Actor Directory by providing MotionActor.com, MotionActor Mobile and the Motion Actor Directory's copyright agent with the following information:
1) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
2) A description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work;
3) Your address, telephone number, and email address;
4) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
5) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
ADVERTISING and ADVERTISERS
MotionActor.com, Inc. including any predecessor or affiliated companies, does not represent or endorse the accuracy or reliability of any of the advertisements (collectively), i.e. links, downloads, distributions, promo content, discounts, sales or other information accessed directly or indirectly from host advertisements / advertisers contained on MotionActor.com or this, or any affiliate Web Site (Service) that MotionActor also uses, nor the quality of any products, information or other materials displayed, purchased or obtained by any consumer, as a result of an advertisement or any other information or offer in connection with the service or products. MotionActor.com, Inc. shall not be responsible for any errors or omissions contained within any 3rd party advertisement contained within its Web Site, and reserves the right to make changes and regulate content without notice. Accordingly, MotionActor.com, Inc. and 3rd party information are provided "AS IS." You, the consumer, acknowledge that any reliance upon any materials shall be at your sole risk. In no event shall MotionActor.com, Inc. be liable for any damages, whatsoever, and in particular, shall not be liable for direct, indirect, consequential, incidental, or punitive damages, or damages of lost profits, loss of revenue, or loss of use, arising out of related to any portion of this Web Site or the information contained in it, whether such damages arise in contract, negligence, tort, under statute, in equity, at law or otherwise. Information provided, i.e., e-mail addresses, direct-mail addresses, telephone numbers, and other personal information will not be exchanged, sold or shared in any means, shape or form for any purpose. If you are a subscriber to any list service, email list or e-notification, you may be removed by sending us an e-mail stating so to: info@MotionActor.com.
